Terms & Conditions

Sourceably Platform & Services

Effective Date: July 17, 2026 | Last Updated: July 17, 2026

Sourceably · East Amherst, New York 14051, United States

These Terms & Conditions govern your access to and use of the Sourceably platform and services. By using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms & Conditions (“Terms”) form a binding agreement between Sourceably (“Sourceably,” “we,” “us,” or “our”), located in East Amherst, New York 14051, United States, and the individual or entity that accesses or uses the Services (“you,” “User,” “Customer,” or “Supplier,” as applicable). By accessing, registering for, or using the Services, you accept these Terms in full. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, you must not access or use the Services.

2. Definitions

  • “Services” means the Sourceably websites, workflow-based SaaS platform, applications, marketplace, and all related features and services.
  • “Customer” means an organization that subscribes to the Services to publish requirements and engage Suppliers.
  • “Supplier” means a provider that registers to search requirements and submit proposals through the marketplace.
  • “User” means any individual authorized to access the Services on behalf of a Customer or Supplier.
  • “Content” means requirements, proposals, messages, documents, evaluations, and other materials submitted through the Services.
  • “Subscription” means a paid plan providing access to the Services for a defined term.

3. Description of the Services

Sourceably provides an online, workflow-based SaaS platform that operates as a global customer and supplier collaboration marketplace. The Services enable Customers to publish requirements and enable Suppliers to search for and submit proposals. The Services support RFP/RFQ/RFI processes, full-cycle contracting, award and acceptance workflows, pre-assessed vendor data and evaluations, favorite lists, approval workflows for publishing marketplace projects and for supplier bid submission, multi-user collaboration for organizations with distributed locations, an auditable messaging system, project resource management, invoicing, billing and payment processes, a cybersecurity self-assessment framework, and related cybersecurity advisory services.

Sourceably provides the platform and tools that facilitate connections and transactions between Customers and Suppliers. Sourceably is not a party to any contract, engagement, or transaction formed between a Customer and a Supplier and does not guarantee the performance, quality, legality, or outcome of any such engagement.

4. Eligibility and Accounts

The Services are intended for business use by individuals who are at least 18 years old and who have the authority to act on behalf of their organization. You agree to provide accurate, current, and complete information when registering and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify Sourceably of any unauthorized use of your account.

5. Free Trial

Sourceably may offer a free trial so that prospective Customers can evaluate the Services. The scope and duration of any free trial are determined by Sourceably and may be modified or discontinued at any time. Access provided during a free trial is offered “as is” and may be limited in features or functionality. Upon expiration of a free trial, continued use of the Services requires a paid Subscription.

6. Subscriptions, Fees, and No-Refund Policy

Access to the Services beyond any free trial requires a paid Subscription on a monthly or yearly basis, as selected by the Customer. Fees are due in accordance with the plan selected and are payable in advance unless otherwise agreed in writing.

All fees are non-refundable. Once a Subscription is purchased, Sourceably does not provide refunds or credits, in whole or in part, for any monthly or yearly Subscription, whether for unused periods, downgrades, or otherwise, except where a non-refundable policy is prohibited by applicable law. You acknowledge and agree to this no-refund policy at the time of purchase.

Sourceably may change its fees and plans on a prospective basis. Any fee changes will apply to renewals or new Subscriptions and will not affect the fees for a Subscription period already paid.

7. Marketplace Engagements, Awards, Escrow, and Commissions

The following rules govern engagements between Customers and Suppliers conducted through the marketplace:

7.1 Awards and Commission

If a Customer uses the Sourceably marketplace to publish a project and selects a particular Supplier for that project, the Customer must use the Services to award the contract and shall pay Sourceably a commission equal to 2.3% of the awarded contract value.

7.2 Anti-Circumvention

A Customer may choose not to use the award function within Sourceably. In that case, the Customer and Supplier shall not establish an external contract with one another for the purpose of avoiding the 2.3% commission owed to Sourceably. Sourceably reserves the right to audit both parties at any time. If Sourceably determines that either party has circumvented the award function to avoid the commission, the party engaged in such conduct shall pay Sourceably a penalty of US $250,000, in addition to any commission owed and any other remedies available to Sourceably.

7.3 Escrow

Before a Supplier accepts an award, the Customer is expected to deposit 20% of the total contract amount into escrow through the Services. Escrow amounts are held and released in accordance with the applicable escrow terms and the milestones or conditions established for the engagement.

7.4 Supplier Acceptance

A Supplier is under no obligation to accept a contract, even after a Customer has awarded the project to that Supplier. An award does not create a binding engagement until accepted by the Supplier.

8. Audit Rights

Sourceably reserves the right, at any time and upon reasonable notice, to audit Customers and Suppliers to verify compliance with these Terms, including compliance with the award, commission, escrow, and anti-circumvention provisions. You agree to cooperate with any such audit and to provide reasonably requested records. The audit rights in this Section are in addition to, and do not limit, any other rights or remedies available to Sourceably.

9. Acceptable Use

You agree not to: (a) use the Services for any unlawful, fraudulent, or unauthorized purpose; (b) upload or transmit malicious code or interfere with the operation or security of the Services; (c) attempt to gain unauthorized access to the Services or related systems; (d) misrepresent your identity, affiliation, or qualifications; (e) infringe the intellectual property or other rights of any party; (f) circumvent the marketplace, award, commission, or escrow mechanisms; or (g) use the Services in any manner that could damage, disable, overburden, or impair them.

10. Intellectual Property and Restrictions

The Services, including all software, workflows, designs, text, graphics, and other materials provided by Sourceably, and all related intellectual property rights, are and remain the exclusive property of Sourceably and its licensors. Except for the limited right to access and use the Services during a valid Subscription, no rights are granted to you.

You agree that you will not recreate, replicate, copy, reverse engineer, or otherwise reproduce the ideas, methods, workflows, or internal processes implemented within Sourceably, nor use knowledge of them to build or assist in building a competing product or service. You retain ownership of the Content you submit; you grant Sourceably a worldwide, non-exclusive license to host, process, display, and transmit that Content solely as necessary to provide and improve the Services.

11. Confidentiality

Each party may have access to non-public information of the other party or of other users. You agree to keep such information confidential, to use it only in connection with the Services, and not to disclose it except as permitted by these Terms or required by law. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, is independently developed, or is rightfully obtained from a third party.

12. Cybersecurity Framework and Advisory Services

Sourceably offers a cybersecurity self-assessment framework that enables you to assess and share your security postures and reports, and it offers cybersecurity advisory services intended to help you pursue key certifications such as ISO 27001, SOC 2, GDPR, and PIPEDA.

These offerings are provided for informational and advisory purposes only. Sourceably does not guarantee that any certification will be obtained or maintained, does not act as a certification body, and does not warrant any particular security outcome. Responsibility for your security controls, compliance, and certification decisions remains solely with you.

13. Warranties and Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, Sourceably disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Sourceably does not warrant that the Services will be uninterrupted, error-free, or secure, or that any Supplier or Customer engagement will result in a particular outcome.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Sourceably and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Services or these Terms, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Sourceably’s total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amount of Subscription fees actually paid by you to Sourceably during the three (3) months immediately preceding the event giving rise to the claim. Sourceably is not responsible for the acts, omissions, performance, or conduct of any Customer or Supplier, or for any dispute or transaction between them.

15. Indemnification

You agree to defend, indemnify, and hold harmless Sourceably and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your Content; (c) your violation of these Terms or applicable law; (d) your engagements, contracts, or disputes with any Customer or Supplier; and (e) your infringement of the rights of any third party. This indemnification obligation survives termination of these Terms.

16. Term, Termination, and Data Handling

These Terms remain in effect while you use the Services. You may terminate your Subscription in accordance with your plan. If you terminate a Subscription, you will retain access to the Services until the end of the paid Subscription window. Thereafter, your data will be available in read-only form for three (3) months, after which it will be permanently purged and cannot be recovered. If your organization subsequently re-registers, previously purged data will not be restored or accessible.

Sourceably may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or engage in conduct that Sourceably determines to be harmful to the Services or other users. Financial and transactional records may be retained by Sourceably as required by U.S. law, including recordkeeping consistent with U.S. Internal Revenue Service (IRS) expectations. Sections that by their nature should survive termination — including those relating to fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — shall survive.

17. Privacy

Your use of the Services is also governed by the Sourceably Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect information.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York and the applicable laws of the United States, without regard to conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New York, and you consent to personal jurisdiction and venue in those courts. Nothing in this Section limits Sourceably’s audit rights or its ability to seek injunctive or equitable relief.

19. Changes to These Terms

Sourceably may modify these Terms from time to time. Material changes will be posted with a revised “Last Updated” date, and where required by law, we will provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

20. General

These Terms, together with the Privacy Policy and any applicable order or subscription document, constitute the entire agreement between you and Sourceably regarding the Services and supersede all prior agreements on that subject. If any provision is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted. Sourceably’s failure to enforce any provision is not a waiver. You may not assign these Terms without Sourceably’s prior written consent; Sourceably may assign them. Sourceably is not liable for any delay or failure to perform due to causes beyond its reasonable control.
